Our Contract with You

2.1. These Terms of Business govern the sale of diamonds, gemstones, and fine jewelry ("Jewelry") by RYLOS INC. to you.

2.2. Please read these Terms carefully as they outline your legal rights and responsibilities.

2.3. By purchasing Jewelry from us, you agree to these Terms.

2.4. We recommend saving or printing a copy for future reference.

2.6. Pay special attention to Clause 14 regarding the limitation of our liability.

2.7. No terms in a purchase order or external documents apply unless confirmed in writing by us.

2.8. These Terms are in English.

2.9. You must be at least 18 years old to make a purchase.

2.10. If purchasing on behalf of a business, you confirm your authority to bind that business.

2.11. We collect personal data to process your order in accordance with our Privacy Policy.

Jewelry

3.1. Product images are illustrative. Actual colors may vary due to screen differences.

3.2. All products are subject to availability.

Placing an Order

4.5. Invoices will be sent including item price and applicable fees.

Pricing, Additional Charges & Delivery

7.1. Product pricing is confirmed at order time.

7.2. Prices are in USD and include taxes unless noted otherwise.

7.3. Prices may change without notice but will not affect confirmed orders.

7.4. Delivery and additional services are not included unless specified.

Payment

8.1. We accept credit cards, bank transfers, or in-person cash payments up to $750.

8.2. We never request bank detail changes via email. Always confirm directly.

8.3. Jewelry will only ship after full payment is received and cleared.

Ownership

9.1. Ownership passes upon full payment.

9.2. Until ownership transfers, you agree to:

Delivery

10.1. Delivery methods and timing are confirmed during order. Delivery fees apply unless otherwise stated.

10.2. Risk passes to you upon delivery.

10.3. International buyers are responsible for customs duties and compliance with local import laws.

Liability

14.1. We do not exclude liability for:

Death or injury from our negligence

Fraud

Defective products

Events Outside Our Control

Contractual obligations are paused during the disruption

·A new delivery timeline will be set 15.3. If delays exceed 30 days, you may cancel the order. We will issue a refund including any return shipping costs.

Disputes & Governing Law

16.2. Legal venue will be in New York.

16.3. RYLOS INC. may choose arbitration through the Diamond Dealers Club (DDC) or any arbitration body of our choice.

Communication

17.1. References to “in writing” include emails.

17.3. Notices are considered received upon confirmation of delivery.

17.4. Email dispatch records are valid evidence.

17.5. These rules do not apply to formal legal service.

Lien

18.1. We retain a lien on Jewelry until all owed amounts are paid in full.

Assignment

19.1. We may assign our rights and obligations under these Terms.

19.2. You may not assign rights without written consent.

Variation

20.1. We may amend these Terms at any time. Changes won’t apply to previously accepted orders.

20.2. Updated terms will be posted on our Website.

20.3. Continued use of the Website indicates your acceptance of changes.

Third Party Rights

21.1. No third party may enforce these Terms under the Contracts (Rights of Third Parties) Act 1999.

Entire Agreement

22.1. These Terms and referenced documents are the full agreement between you and RYLOS INC., superseding any prior communications.

Severability

Waiver

Partnership
